Schoenherr is advising Nova Ljubljanska banka d.d., Ljubljana ("NLB") on its competing voluntary public takeover offer for Addiko Bank AG ("Addiko") as announced on 15 May 2024 (NLB press release) and launched on 07 June 2024. With its full-cash offer, NLB aims to acquire control over Addiko, offering a consideration of EUR 20 per share on a cum dividend basis, which represents an attractive 22.2 % premium on the 6m VWAP. To buy or not to buy a going concern? Alternative M&A transaction structuring in Bulgaria
Unsurprisingly, the most common M&A transaction structures in Bulgaria are share deals, in which the target company is acquired with all its assets and liabilities, and asset deals, in which individual assets are acquired. But these structures may not always serve the parties' commercial needs. A share deal may not be possible if the buyer's due diligence revealed a title issue with the shares, a minority shareholder does not consent to a 100 % sale, or the company may have a separate line of business that the seller wishes to retain. A pure asset deal may be impractical if the buyer aims to acquire a business (e.g. a shopping mall as an operational asset) and not an individual asset (e.g. the shopping mall as a building), or where the transfer of contracts and certain relevant liabilities that form part of the business requires third-party consents.

A ground-breaking ruling in the Xella Hungary case

And when faced with such a claim, would Romanian courts rule in favour of the claimant? A recent court ruling has answered both questions with a resounding "yes", opening new horizons in M&A-related matters in Romania.

Austria: Schoenherr advises Cerba HealthCare on acquisition of Lifebrain from Investindustrial
Schoenherr advised French diagnostic centre group Cerba HealthCare on the acquisition of the Lifebrain Group from Investindustrial. Lifebrain owns and operates diagnostic laboratory centres throughout Italy and in Austria. The signing of the transaction took place on 18 July 2021 and closing is subject to regulatory clearances expected in Q4 2021.

Schoenherr advised the Auto Palace Group ("Auto Palace"), a Czech subsidiary of the AutoBinck Group and a leader in car dealerships in the Czech Republic, on the acquisition of two car dealerships in Prague and Karlovy Vary from CarPoint Karlovy Vary s.r.o. With this expansion Auto Palace acquires two more dealerships with an investment value of almost EUR 6 million, and will expand its offer with five new brands, namely Audi, Volkswagen, Volkswagen Commercial Vehicles, SEAT and Cupra.
Bulgaria: Schoenherr advises MET Group on acquisition of 42 MW wind park from Enel Green Power
Schoenherr advised MET Group on the acquisition of a 100 % stake in one of the biggest wind parks in Bulgaria from Enel Green Power S.p.A. The 42-megawatt wind park, operational since 2010, is situated in the Kavarna region near the Bulgarian Black Sea coast. Schoenherr acted as legal advisor on the buy-side. Merger clearance still needs to be obtained as closing is expected by the end of the year.
