Schoenherr advised Palfinger AG, an international technology and mechanical engineering company and the world's leading producer and provider of innovative crane and lifting solutions, headquartered in Bergheim, Austria, on its successful, multiple-times oversubscribed placement of 2,826,516 treasury shares, generating gross proceeds of more than EUR 100m.
The shares were placed with institutional investors by means of an accelerated private placement (accelerated bookbuilding). The price per share amounted to EUR 35.40. Closing occurred on 31 July 2025.
Palfinger will use the net proceeds from the sale of treasury shares, among other things, to further expand its service structures in Europe and North America, realise further growth opportunities, particularly in North America and Asia, intensify its activities in the defense business, and strengthen its capital structure.
BofA Securities Europe SA and UniCredit Bank GmbH acted as Joint Bookrunners.
"We are pleased to have supported Palfinger in this highly successful share placement and thank the issuer for its trust in our expertise," said partner and co-head of Schoenherr's capital markets practice Christoph Moser. "Accelerated bookbuildings are a core expertise of Schoenherr's equity capital markets practice, as once again demonstrated by this landmark transaction."
Sascha Schulz, partner, who co-led the transaction, added: "The strong demand in the offering underscores the confidence in the Palfinger share and its attractiveness for investors."
The Schoenherr team consisted of Christoph Moser (partner), Sascha Schulz (partner), Angelika Fischer (attorney at law), Daniel Gritsch (associate) and Clemens Stockhammer.
Clifford Chance LLP (lead: George Hacket, Andrei Manea, Valeria Umanet) acted as international counsel to the Joint Bookrunners and Wolf Theiss Rechtsanwälte GmbH & Co KG (lead: Claus Schneider, Sebastian Prakljacic, Rainer Holweg, Magdalena Bertsch) advised the Joint Bookrunners as Austrian counsel.
