Poland: Schoenherr advises Bank Pekao S.A. on financing for Trans Polonia S.A.'s acquisition of Nijman/Zeetank Group

The financing supported Trans Polonia S.A.'s acquisition of 100 % of the shares in Nijman/Zeetank Holding B.V. (N/Z) and 100 % of the shares in N & K Equipment B.V., a company affiliated with the Nijman/Zeetank Group. Headquartered in the Netherlands, Nijman/Zeetank is a renowned provider of logistics solutions for liquid raw materials and glass, and one of the key carriers in the European ADR transport industry (hazardous materials).

This transaction marks an important milestone in Trans Polonia's development, expanding its competencies to include the intermodal transport segment, which plays a crucial role in the chemical industry. It also increases the scale and geographical reach of the company's operations. The acquisition of the Nijman/Zeetank Group is another step in the implementation of Trans Polonia Capital Group's European development strategy, which combines sustainable organic growth with an intensive acquisition programme.

Schoenherr acted as legal counsel to the lender, delivering coordinated advice across Poland, the UK, the Netherlands, Belgium and Germany. The Warsaw team provided comprehensive legal advice on Polish law aspects of the transaction, including the preparation and negotiation of the financing documentation and coordination of the fulfilment of conditions precedent.
