Schoenherr advised Luminator Technology Group ("LTG"), a provider of technology solutions in the transit industry, and Wingspire Capital, a diversified specialty finance firm that provides senior debt solutions, in relation to USD 40m term and revolving loans granted to LTG.
Schoenherr provided legal counsel covering Polish law aspects of the financing documentation, the establishment of new Polish law collateral, the release of existing Polish law collateral that previously secured financing from Blackstone, a large alternative asset manager, and its re-establishment as second lien collateral. The firm also supported the process by navigating the complexities of the financing arrangements, from negotiating documentation to overseeing the signing process and fulfilling various post-closing requirements.
The transaction marks an important step for LTG and its partners, offering increased financial flexibility to support ongoing innovation and operational growth.
Luminator Technology Group is a manufacturer of the display, video surveillance and lighting technology intended for municipal transportation systems, original equipment manufacturers and their suppliers. The company offers interior signs, seat control systems, lighted switches, destination signs, next stop signs, infotainment and passenger information systems, enabling clients to illuminate, inform and improve the experience of bus, rail and aerospace passengers.
