Poland: Schoenherr advises Trasti on Poland’s largest insurtech investment

Schoenherr advised HPI GMA S.A. (operating under the "Trasti" brand), a fast-growing Polish insurtech, on securing a strategic equity investment from the European Bank for Reconstruction and Development (EBRD) and Slovenian insurer Zavarovalnica Triglav d.d. The EUR 21m (approx. PLN 88m) deal marks the largest investment in Poland's insurtech sector to date.

Schoenherr provided comprehensive legal support across all phases of the transaction. This included structuring the legal framework for a multi-tranche capital increase, managing a simultaneous partial secondary exit of certain minority shareholders, negotiating the investment and shareholders' agreements and advising on regulatory and corporate governance matters. A key focus was placed on aligning the long-term objectives of EBRD and Triglav with Trasti's ambitious growth trajectory while safeguarding a robust framework for future shareholder cooperation.

Founded by experienced insurance and financial sector executives, Trasti operates as a managing general agent (MGA) for Triglav. Since launching in March 2021, the Warsaw-based company has issued over 700,000 motor insurance policies and generated more than PLN 620m in gross written premiums. With PLN 245m recorded in 2024 alone, Trasti aims to exceed PLN 300m in 2025 and reach PLN 1bln by 2029.

Trasti's products are reinsured by Swiss Re and powered by proprietary pricing algorithms and a fully digital claims-handling process. The fresh capital will allow Trasti to expand its distribution channels, optimise claims management, grow its voluntary insurance offering and support international expansion.

The investment highlights EBRD's continued commitment to technological innovation in the financial sector across the CEE region. For Triglav, the transaction further deepens its underwriting partnership with Trasti and supports its broader regional growth strategy.
