Romania: Schoenherr advises founders of Purcari Wineries on voluntary takeover bid by Maspex

Schoenherr advised the founders of Purcari Wineries on the voluntary takeover bid for the company's shares, which was successfully closed by Maspex Romania through the Bucharest Stock Exchange. Following the anticipated completion of the subscription procedures for more than 71 % of the shares, the settlement of the shares and the fulfilment of regulatory approvals, Maspex Romania will hold a controlling position in Purcari Wineries. 

Schoenherr advised on capital market aspects of the project, including transaction structuring, review of the transaction documentation for the voluntary takeover bid, as well as the drafting and negotiating of agreements between the parties. 

"This transaction is a pioneering project in Romania," said Schoenherr partner Narcisa Oprea, who led the team advising the founders of Purcari Wineries. Purcari Wineries Group is one of the leading wine and brandy producers in Central and Eastern Europe. With more than 2,050 hectares of premium vineyards and seven production platforms located in Romania, Moldova and Bulgaria, the group is the largest exporter of bottled wines from the Republic of Moldova, with the most premium wines from Moldova and Romania.

Maspex Romania is part of Maspex Group – the largest privately owned company in the food industry in Poland and one of the largest in Central and Eastern Europe, with a history of over 30 years on the market. The group's products are distributed in over 60 countries worldwide.
