Schoenherr advised ANDIAL Quantum Systems on the establishment of the joint venture CHANDAL Quantum Group GmbH with Taiwan-based Chelpis Quantum Corporation to deliver quantum-safe encryption, secure semiconductor solutions and sovereign AI infrastructure for Austria, Germany and Switzerland.
The founding documents for the joint venture were signed on 3 July 2026 at Schoenherr's Vienna office. CHANDAL Quantum Group holds the exclusive rights to Chelpis’ technology portfolio in the DACH region. Its quantum security platform is designed for states and critical industries.
Schoenherr acted as transaction counsel and advised ANDIAL comprehensively on the establishment of the joint venture, including the full scope of transaction documentation.
CHANDAL Quantum Group will accompany governments, banks, hospitals, energy providers and industrial enterprises through the entire transition to quantum-safe security: from automated cryptographic inventory and migration to quantum-resistant encryption, through to protected AI chips, tap-proof communications and sovereign data-centre environments. Technology partner Chelpis is among the world's leading specialists in quantum-safe encryption and is listed as a research partner of Germany's Cyberagentur, a legal entity owned by the Federal Republic of Germany under the joint leadership of the German Ministry of Defence and Ministry of the Interior.
"We are very pleased to have supported ANDIAL Quantum Systems in structuring and establishing this strategically significant joint venture," said Niklas Kerschbaumer, who led the Schoenherr team advising on the transaction. "Quantum security is rapidly moving from a future scenario to a present-day regulatory and commercial imperative. It was a privilege to help our client lay the legal foundations for a platform that will play a central role in Europe's digital sovereignty."
Arthur Dichand, co-founder and managing director of ANDIAL Quantum Systems, commented: "We are not merely building a company. We are laying the foundation for Austria and the German-speaking world to remain digitally sovereign in the quantum age. This is not an ordinary corporate formation. It is about Europe's strategic independence in the decades ahead. The states that seriously address this question now will have a decisive advantage in the long run."
Nojus Albrichtas, co-founder of ANDIAL Quantum Systems, added: "With Schoenherr, we had an outstanding legal partner at our side who understood the strategic dimension of this venture from the very beginning and translated our vision into a robust legal framework."
ANDIAL Quantum Systems is a Vienna-based company focused on quantum-safe technologies and digital sovereignty, co-founded by Arthur Dichand and Nojus Albrichtas.
Headquartered in Taiwan, Chelpis Quantum Corporation is an internationally recognised specialist in quantum-safe encryption, semiconductor security and AI infrastructure, serving governments and critical industries worldwide.
The Schoenherr team advising ANDIAL was led by Niklas Kerschbaumer (Attorney at Law) and further included Marco Thorbauer (Partner), Daniela Birnbauer (Attorney at Law) and Alexander Giehser (Associate).
