Schoenherr advised Basic-Fit on its agreement to acquire Speedfit GmbH from Sport Life Group, Ukraine's largest fitness club network, by way of a share deal. Speedfit is an operator of 18 fitness clubs in Austria. Closing the transaction remains subject to obtaining the necessary merger control clearances and is expected in the fourth quarter of 2026.
Schoenherr provided full transaction advice on the acquisition, covering contract negotiation, due diligence and merger control. Basic-Fit signed agreements to acquire Speedfit, which operates 18 clubs in Austria.
With around 36,000 members across its 18 clubs, Speedfit is one of the larger independent fitness operators in Austria. Following completion of the acquisition, Basic-Fit's own-club network in Austria is expected to grow from 33 to 51 clubs.
"We are proud to have supported Basic-Fit on this landmark transaction in the Austrian fitness market," said Niklas Kerschbaumer, who led the Schoenherr team advising Basic-Fit. "The acquisition of Speedfit's 18 clubs and around 36,000 members underscores the strong momentum in the fitness sector across Austria."
The acquired clubs complement Basic-Fit’s business model. With over 1,700 clubs across Europe, Basic-Fit is Europe's largest fitness club operator and is publicly listed on Euronext in Amsterdam. The acquisition is in line with the vertically diversified growth strategy Basic-Fit presented at its Capital Markets Day in April 2026, built on organic growth, inorganic growth and franchising.
