Austria: Schoenherr advises Findologic's shareholders on exit to Nosto

Schoenherr advised the shareholders of Austrian software provider Findologic on their exit to the Finnish commerce experience platform Nosto.

With Findologic's extensive footprint in the Shopware ecosystem, this acquisition reaffirms Nosto's longstanding commitment to the global ecommerce platform, making it the most comprehensive commerce experience solution in the online retail technology ecosystem. Schoenherr advised Findologic's shareholders in all legal aspects of the exit, in particular concerning transaction structuring and contract negotiations, as well as in general legal matters. The transaction was closed on 15 December 2022.

"We are proud to have advised Findologic's shareholders on this interesting exit, handling all legal questions that arose throughout the process," said partner and co-head of Schoenherr's IP & Technology group Thomas Kulnigg, who led the team. "Congratulations to Findologic and Nosto on this successful transaction."

Founded in Salzburg, Austria, Findologic has been developing advanced search solutions for online stores since 2008 and is one of the leading providers. The Findologic Platform is a unique new approach leading to unprecedented efficiency in online stores. Findologic's Linguistic Shopping Assistant delivers AI-powered results and skills for every situation directly.

Nosto enables online brands to deliver authentic, relevant and personalised experiences at every touchpoint, across every device. An AI-powered commerce experience platform (CXP) designed for ease of use, Nosto empowers brands to build, launch and optimise compelling digital experiences without the need for dedicated IT resources or a lengthy implementation process.

The Schoenherr team was led by Thomas Kulnigg (partner) and included Clemens Pretscher and Maximilian Czernin (associates), Veronika Wolfbauer (counsel), Michael Woller (partner), Alexander Pabst (associate) and Miriam Simsa (partner). Schoenherr's IP & Technology group regularly advises technology companies on a wide range of matters. This exit joins numerous impressive transactions in the Austrian technology sector that Schoenherr advised on.

The shareholders of Findologic were advised by Roschier on Finnish law aspects and by ECOVIS on tax matters.

Nosto was advised by Bird & Bird Helsinki and for Austrian law matters by DORDA, as well as KPMG for tax matters.
