Schoenherr advised BlackPeak Capital in relation to their equity investment of up to EUR 7.5m in EUShipments.com, a courier and fulfilment provider with operations in the EU and the UK and the holding company of InOut Trade.
Schoenherr's scope of services included an extensive buyer due diligence investigation with a red-flag report of findings and recommendations as well as the drafting and negotiation of a share subscription agreement for the subscription by BlackPeak of new shares by capital increase and a shareholders' agreement for the future relationship of the shareholders in respect to the company's management, transfer of shares, exit, etc.
