CEE: Schoenherr advises Basic-Fit on acquisition of Clever Fit

Schoenherr provided comprehensive legal advice to Basic-Fit on all aspects of the transaction in Austria, Slovenia and Croatia, including the related fitness studio portfolio. Hogan Lovells acted as lead counsel on the transaction.

With the acquisition, Basic-Fit will operate a network of around 450 fitness clubs across Germany. Clever Fit has approx. one million members and operates in seven countries, including Germany (406 studios), Austria (48 studios), Switzerland (20 studios), Slovenia (15 studios), Romania (2 studios), Croatia (1 studio) and the Czech Republic (1 studio). Completion of the transaction is expected by the end of 2025 and is not subject to regulatory approval.

With more than 1,650 clubs, Basic-Fit is one of Europe's largest and fastest-growing fitness operators, active in six countries and serving over 4.7 million members.

The Schoenherr team was led by Thomas Kulnigg (partner) and Niklas Kerschbaumer (attorney at law), and included Clemens Rainer (partner) and Yvonne Kraudinger (attorney at law) on real estate matters, Daniel Komarek (attorney at law) and Matthias Hagenauer (associate) on employment law, as well as Dominik Hofmarcher (partner) and Alexander Pabst (attorney at law) on IP-related aspects.
In Croatia, the team was supported by Vice Mandarić (partner) and Matea Vučić (associate), and in Slovenia by Jan Primožič (attorney at law).
