CEE: Schoenherr advises Bell Food Group on cross-border divestment in CEE

Schoenherr advised Bell Food Group, a leading Swiss food supplier, on the sale of its Eisberg units in Poland, Romania and Hungary to Green Factory.

Bell Food Group's Eisberg business unit sells fresh products such as chopped salads and herbs, as well as pre-cut produce to retailers and wholesalers. Schoenherr advised Bell Food Group on all legal aspects of the transaction in Poland, Romania and Hungary. Eisberg's plants in Switzerland and Austria, as well as its purchasing company in Spain, are not included in the sale.

"This complex cross-border transaction highlights our ability to seamlessly coordinate legal advice across multiple jurisdictions in the CEE region," said partner Marcin Czaprowski, who co-led the international Schoenherr team.

Bell Food Group operates across 14 countries with core brands such as Bell, Hubers, Eisberg, Hilcona, and Hügli, serving both retail and food-service channels. In 2024, the group reported net revenues of CHF 4.7bln. Following this divestment, Eisberg aims to focus on its core DACH markets.

Green Factory operates across several Central European markets in the food industry, with facilities located in Poland, Hungary, Lithuania, and Ukraine. The company intends to continue operating the sites and will take on all Eisberg employees.

The Schoenherr team advising Bell Food Group was supervised by Christoph Haid (partner) and co-led by Marcin Czaprowski (partner) and Szymon Okoń (partner), who coordinated the cross-border team.
