CEE: Schoenherr advises VIG on IFC investment in Ukrainian insurance companies

Schoenherr advised Vienna Insurance Group (VIG) on the International Finance Corporation's (IFC) equity investment in two Ukrainian non-life insurance companies of VIG, USG and Kniazha. This landmark transaction will mark a significant milestone for Ukraine's insurance sector, as subject to regulatory approval, IFC will acquire an approximately 20 % stake in each company to support the expansion of their product portfolios and the acceleration of the digitalisation strategies, with VIG intending to play an active role in the country's reconstruction after the end of the war.

The Schoenherr team provided comprehensive legal advice to VIG throughout all phases of this complex cross-border transaction, covering corporate/M&A, regulatory and English law matters. The transaction is subject to customary regulatory approvals.

"We are proud to have advised our long-time client VIG on this strategically important transaction," said partner Markus Piuk, who led the Schoenherr team advising VIG. "Thanks to our strong international platform, which allows us to deliver one-stop legal solutions for complex matters, our team has gained extensive experience in large-scale cross-border M&A deals throughout the CEE region, including in the financial services sector."

"This transaction sends a positive signal to strategic international companies about the outlook of investments in Ukraine and the critical role the private sector will play in the country's reconstruction," added Tatiana Iurkovska, attorney at law, who co-heads Schoenherr's Ukraine desk. "Despite challenging conditions, Ukraine's market demonstrates remarkable resilience and significant growth potential."

VIG is the leading insurance group in Central Eastern Europe. More than 50 insurance companies and pension funds in 30 countries form a group with a long-standing tradition, strong brands and close customer relations. Approximately 30,000 VIG employees attend to the day-to-day needs of around 33 million customers.

IFC, a member of the World Bank Group, is the largest global development institution focused on the private sector in emerging markets. It is active in more than 100 countries, using its capital, expertise and influence to create markets and opportunities in developing countries.

The Schoenherr team advising VIG on this transaction was led by Markus Piuk (partner), with Ukrainian law matters led by Tatiana Iurkovska (attorney at law) and English law aspects covered by Katerina Kaloyanova-Toshkova (attorney at law).
