Schoenherr advised private equity fund Polish Enterprise VII, managed by Enterprise Investors, on the sale of its entire shareholding in PAN-PEK, Croatia's leading bakery producer and distributor, to Inter Europol, a major player in Poland's bakery market.
Founded in 1992, PAN-PEK has grown into one of the leading producers of frozen bakery goods in the Adriatic region. The company supplies prominent retail chains including Lidl, Kaufland, Konzum and Spar, and operates its own network of more than 70 retail locations. PAN-PEK employs nearly 800 people and generated revenues of over EUR 50m in 2024.
Enterprise Investors became the majority shareholder in PAN-PEK in 2018 and acquired full ownership in 2020. Under their leadership, the company significantly expanded its production capacity and launched exports to Italy and the United States.
The buyer, Inter Europol SA, is a family-owned Polish bakery company founded in 1989. Originally a local bakery in Warsaw, Inter Europol has evolved into a market leader in Poland, employing over 1,500 people and distributing fresh and frozen products across the EU, as well as in Asia and the Middle East. The acquisition of PAN-PEK aligns with Inter Europol's growth strategy, which focuses on international expansion and strengthening its position in the natural products and retail segments.
Schoenherr advised Enterprise Investors on all legal aspects of the transaction.
