Czech Republic: Schoenherr advises Finnish company Caverion on the disposal of its Czech subsidiary to a company in the ČEZ Group

Schoenherr Czech Republic advised Finnish company Caverion Emerging Markets Oy ("Caverion") on the disposal of its Czech subsidiary Caverion Česká Republika s.r.o. to KART spol. s r.o., a member of the ČEZ Group.

"We were pleased to represent Caverion in this transaction," said partner Vladimír Čížek after the successful closing. "Its decision to leave the Czech market is a step towards fulfilling its business strategy of developing activities with higher added value."

Caverion provides smart technical solutions and services for buildings, industrial processes and infrastructure. The company operates in 12 countries in Central Europe, Scandinavia, the Baltics and Russia, and has about 16,000 employees. Established in 1991, the Czech subsidiary provides services mainly in the building maintenance sector, covering design, projects, supply and installation of technical solutions for buildings, including their maintenance and final removal.

KART spol. s r. o., part of the ČEZ Group, was established in 1992 and provides comprehensive operations and services for building technical equipment. It also supplies and installs air-conditioning, heating and cooling equipment, measurement and control systems, and high-voltage appliances and distribution systems. In addition, it designs and inspects electrical equipment, pressure vessels and boiler rooms.

The Prague team was led by Vladimír Čížek (partner, corporate/m&a) supported by Jitka Kadlčíková (attorney-at-law, corporate/m&a).

Legal counsel for KART, spol. s r.o. was Němec, Bláha & Navrátilová, s.r.o. law firm.
