Poland/Croatia: Schoenherr advises TotalEnergies on acquisition of VSB Group

Schoenherr advised TotalEnergies on the acquisition of VSB Group, a Germany-based renewable energy developer and operator of wind farms and photovoltaic power plants. The firm provided legal advice on the Polish and Croatian aspects of the acquisition. Completion of the transaction remains subject to approval by the applicable merger control authorities.

TotalEnergies is a global integrated energy company that produces and markets energies, including oil and biofuels, natural gas and green gases, renewables and electricity. Active in about 120 countries, TotalEnergies places sustainability at the heart of its strategy, its projects and its operations.

Headquartered in Germany, VSB is one of Europe's leading renewable energy platforms, with a project pipeline of over 18 gigawatts for wind, photovoltaic and battery storage and over 475 megawatts in its own operation (IPP).

The Schoenherr team advising TotalEnergies was co-led by Maximilian Lang (partner) and Krzysztof Pawlak (partner) and further included Krzysztof Leśniak (senior attorney at law), Grzegorz Filipowicz (partner), Adam Nowosielski (senior attorney at law) and Marcin Antczak (counsel) covering the Polish aspects of the transaction, as well as Ivan Einwalter (partner) and Lea Muzic (attorney at law) advising on the Croatian aspects of the transaction.
