Poland: Schoenherr advises eSky Group on transaction financing regarding acquisition of travel agency Thomas Cook

Schoenherr advised eSky Group, the operator of a leading travel booking platform in Central and Eastern Europe, on the financing aspects of its acquisition of Thomas Cook, a renowned online travel agency. With this transaction, which excludes Thomas Cook's operations in China, eSky Group strengthens its presence in the European travel market and continues its strategy of global expansion and diversification.

Schoenherr provided comprehensive legal advice on all financing aspects throughout the transaction's negotiation and signing process.

"We are delighted to have played a key role in supporting eSky Group in securing the financing of this landmark acquisition," said Schoenherr partner Ilona Fedurek, who led the team. "The Thomas Cook brand is steeped in history, and this acquisition represents a transformative step for eSky as it continues to grow its presence on the global stage. Our team's commitment to providing top-tier legal expertise helped ensure a smooth and successful transaction."

eSky Group is one of the leading travel platforms in Central and Eastern Europe, offering a wide range of package travel products across more than 50 countries. The acquisition of Thomas Cook will allow eSky Group to enter one of the most developed travel markets in Western Europe and further expand its portfolio of package holidays in Europe and Latin America. It is expected to significantly boost the company's package sales, with forecasts for 2025 exceeding EUR 233m.

Thomas Cook was relaunched in 2020 as an online travel agency, nearly a year after the brand was acquired by Fosun Tourism Group. Now under the ownership of eSky Group, Thomas Cook's service portfolio will be strengthened by eSky's advanced technology and extensive flight inventory of over 550 airlines.

The Schoenherr team advising eSky Group was led by Ilona Fedurek (partner) and Piotr Bartoś (senior attorney at law), and further included Gabriela Chrzanowska (associate) and Filip Grabowski (associate).
