Poland: Schoenherr advises Hawk Infinity on acquisition of Polish software developer e-file

Schoenherr advised Hawk Infinity AS, a private equity firm based in Oslo, Norway, on the acquisition of a 100 % stake in e-file sp. z o.o. sp.k., a Polish company specialising in the development of software dedicated to tax returns, invoicing and accounting.

e-file is a leading Polish software developer providing cloud-based, regulatory-compliant solutions for tax returns, invoicing and accounting, serving individual taxpayers, SMEs and accounting practices. Hawk Infinity, which invests in well-established, cash-flow-positive businesses in the technology sector, intends to leverage its sector expertise and growth capital to accelerate e-file's product development, broaden its distribution channels and explore further expansion opportunities in the CEE region.

The transaction featured a complex structure involving bank financing and a vendor reinvestment mechanism. Given its cross-border nature, it required close collaboration between Polish and Norwegian counsel to resolve legal and corporate governance matters.
