Schoenherr advised the sole shareholder of All Birotic Devices Trade & Service (ABD), a Romanian tech company specialising in computer refurbishment, on the sale of the company to Foxway, a leading European circular tech company. Foxway has collaborated with ABD since 2023, repairing tech devices for its range of premium-refurbished and reused computers.
The Schoenherr team provided sell-side legal advice throughout all phases of the transaction.
"For Romanian entrepreneurs, deals like this demonstrate that building specialised capabilities in the circular economy can attract strategic European investors committed to sustainability and extending the lifecycle of electronic devices," said partner Mădălina Neagu, who led the Schoenherr team advising on this transaction. "We are proud to have guided ABD's shareholder through this milestone, which reflects the growing importance of sustainability-driven business models."
Foxway is a leading European circular tech company that extends the lifespan of millions of tech devices annually through refurbishment, repair and reuse. The acquisition of ABD is part of Foxway's long-term ambition to build a stronger European infrastructure for circular tech, enabling more devices to be repaired, upgraded and returned to the market.
ABD offers computer refurbishment services such as respraying and skinning to restore devices to a premium standard. The company is based in Buftea, Ilfov County, Romania, and employs around 50 people. In the 2024 financial year, ABD reported revenue of approx. EUR 6.3m, with an EBITDA margin of 11 %.
The Schoenherr team advising ABD's shareholder was led by Mădălina Neagu (Partner) and included Mihaela Popescu (Managing Attorney at Law), Alina Cristea (Senior Attorney at Law) and Ștefan Popa (Attorney at Law).
