Schoenherr Slovenia has advised the French group of companies Groupe Salins ("Salins"), a pan-European salt producer and distributor, on the acquisition of the company Soltis d.o.o. ("Soltis"), a local distributor of salt products
The transactional documentation was signed on 17 October 2018, and closing took place mid-December.
The deal has several complex facets starting with the structure of the transaction, which included a sophisticated combination of a share and several asset deals, and a gradual exit scenario envisaged for the existing shareholders, resulting in a joint venture type deal to be added to the mix.
Schoenherr advised Salins on all aspects of the acquisition, including, most notably, structuring, due diligence and transaction support.
Groupe Salins is one of the main European salt producers and the only "pure salt producer", exclusively dedicated to the production and commercialisation of salt. Having been in existence for over 150 years, its staff of over 1500 strong and its production capacities of 4 million tons of salt per year make Groupe Salins a key European, and global, market player; a fact that is furthered still by the group's enhancement of its market presence in Slovenia.
