Bulgaria: Schoenherr advises OSRAM GmbH on sale of its Bulgarian business

Schoenherr advised German company OSRAM GmbH on the sale of its Bulgarian business to the Sanmina Corporation. Schoenherr's role included drafting of the share purchase agreement and ancillary sale documentation, and negotiating the documentation and transaction structure with the buy-side. The deal was governed by Austrian law and Bulgarian law, and the parties to the agreement included German, American and Dutch entities.

OSRAM GmbH is a globally leading lighting manufacturer operating for over a century. In automotive lighting, the company is the global market and technology leader. As of September 2018, OSRAM posted revenues of over EUR 4.1bln.  

The Sanmina Corporation is an American leading integrated manufacturing solutions provider serving the fastest-growing segments of the global Electronics Manufacturing Services market. The firm has nearly 80 manufacturing sites, and is one of the world’s largest independent manufacturers of printed circuit boards and backplanes. As of 2018 it is ranked 411^th in the Fortune 500 list, and has been included in the list for 18 years.
