A Schoenherr team lead by Alfred Amann (Partner) advised Mutares SE & Co. KGaA on its agreement to acquire Synthomer a.s. from Synthomer plc in a carve-out transaction. Signing took place on 19 June 2026, with closing of the transaction expected in the end of the third quarter of 2026, subject to customary closing conditions.
Schoenherr advised Mutares on all Austrian legal aspects of the transaction. The acquisition represents a strategic platform investment for Mutares' Chemicals & Materials segment and is fully aligned with the company's strategy of acquiring businesses in transition with significant operational improvement potential.
Synthomer a.s. is Synthomer plc's Czech-based Acrylate Monomers segment and a leading European producer and supplier of acrylic acids and acrylic esters serving a wide range of industrial applications. The company benefits from an integrated product portfolio and a highly flexible production set-up, enabling the optimisation of product mix and margins. In 2025, Synthomer a.s. generated revenues of approximately EUR 110m (carve-out revenues) and employed around 300 people.
